ReproAlign does not provide medical advice, diagnosis, or treatment. Content made available through the Services, including outputs from AI models (e.g., sperm analysis, embryo selection, protocol optimization, risk assessment), is for informational purposes only and must not be used as a substitute for professional medical advice. Always seek the advice of qualified healthcare professionals. In case of emergency, contact local emergency services immediately.

5. Intellectual Property

The Services, including all software, models, content, logos, and trademarks, are owned by or licensed to ReproAlign and are protected by applicable intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal, non-commercial purposes, unless otherwise agreed in writing.

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and safeguard personal data, including health information where applicable, in accordance with Indian law such as the Digital Personal Data Protection Act, 2023.

To the maximum extent permitted by applicable law, in no event will ReproAlign or its directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, loss of data, or business interruption, arising from or related to your use of the Services, even if advised of the possibility of such damages. To the extent permitted by law, our aggregate liability for all claims relating to the Services shall not exceed INR 8,000 or the amounts you paid (if any) for the Services in the twelve (12) months preceding the claim, whichever is greater.

You agree to indemnify and hold harmless ReproAlign and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Services or your violation of these Terms or applicable law.

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms or applicable law, or to protect the security, integrity, or operation of the Services.

• Assignment: You may not assign these Terms without our prior written consent. We may assign or transfer our rights under these Terms without restriction.
• No Waiver: Our failure to enforce any right or provision shall not be a waiver of such right or provision.
